These Terms and Conditions (the "Terms of Use") constitute a legally binding agreement between you ("you" or the "User"), who may be a business entity or a sole trader, and "WholesaleUp™", referred to herein as "us" or "we".
By accessing our services from within the EU, the UK, North America, or any other region where our services are available, you confirm that you represent a business entity or sole trader. We may request verification of VAT, tax, or business registration details at any time. If satisfactory evidence cannot be provided upon request, accounts may be suspended or terminated.
The section titles in these Terms of Use are for convenience only and have no legal or contractual effect. If any provision of these Terms of Use is held to be invalid or unenforceable for any reason, the remaining provisions shall, to the maximum extent possible, remain in full force and effect.
Your use of this website and any disputes arising from its use are subject to the laws of the Kingdom of Spain. You agree to the exclusive jurisdiction of the courts of Santa Cruz de Tenerife, Spain, without prejudice to any mandatory consumer-protection jurisdiction that may apply to Users in the EU or UK.
If you do not accept these Terms of Use in full, you must leave the site immediately. Continued use constitutes full acceptance of these Terms of Use.
Operator. The Site is operated by Tradegenius SL (CIF B76780006), a company registered in Spain with registered office at Calle Villalba Hervas 2, 4-2, Santa Cruz de Tenerife, 38002, Spain.
Products Offered. We offer a primarily business-to-business (B2B) access-based service, providing trade buyers with access to our database of wholesale offers, verified suppliers, and sourcing tools. All WholesaleUp access package purchases are made in a B2B capacity: the purchaser represents and warrants that they are acquiring the license in the course of a trade, business, craft, or profession, and not as a consumer. Consumer-law cooling-off or distance-selling rights (including those under the UK Consumer Contracts Regulations 2013 and the EU Consumer Rights Directive 2011/83/EU as implemented in national law) do not apply to access package purchases. Some suppliers listed in the directory may indicate that their deals are also available to private consumers (B2C); this relates solely to those suppliers' own sale terms and has no bearing on the B2B nature of the access package purchase itself. Each license permits a monthly supplier-website click cap: 500 clicks per month for Standard and Premium members, 750 clicks per month for Premium+ members (Supplier Pro members inherit the Premium+ cap).
Access Plans & Payments. Access packages are available for 1-month, 6-month, or 12-month periods. Depending on the plan and the option selected at checkout, access is provided either as a fixed-term access package purchased via a one-time payment, or as a recurring subscription that renews automatically at the end of each billing period. For a one-time access package there is no automatic renewal; when the purchased period expires, the User reverts to the free tier and may purchase a new access package at any time. For a recurring subscription, the package renews and the payment method on file is charged automatically at the start of each new period until the User cancels; the User may cancel at any time from the Billing page in their dashboard, after which access continues to the end of the period already paid for and does not renew thereafter. The applicable terms for each purchase, including whether it auto-renews and the renewal price, are shown at checkout. Prices are displayed and charged in the currency the User selects at checkout; applicable taxes (VAT, sales tax, or equivalent) are added where required by law. Payments are non-refundable upon access package activation, except as explicitly stated herein.
For a one-time access package, no cancellation is required: your access remains active until the end of the purchased period, after which it expires automatically. For a recurring subscription, you can cancel at any time from the Billing page in your dashboard to stop future renewals; your access then continues until the end of the period already paid for and is not renewed afterwards. To review your current plan, its renewal status, and your purchase history, visit the Billing page in your dashboard.
If a User signs up but has not been able to log in at least once to their WholesaleUp account, a full refund may be issued upon request. In all other cases, refunds are granted solely at the discretion of WholesaleUp management.
Supplier Pro 30-day review window. Where a User has purchased Supplier Pro and the package has not delivered the enquiries or visibility the User reasonably expected, the User may request a refund within 30 days of the purchase date. WholesaleUp will review each such request individually, taking into account the configuration of the User's profile, the use made of the platform's features during the period, and the specific concerns raised. Where appropriate, WholesaleUp may first work with the User to address any underlying issue before issuing a refund. The 30-day review window applies only to Supplier Pro purchases. Outside the 30-day window, refunds remain at WholesaleUp's sole discretion in accordance with clause 2.4.
Premium+ Custom Sourcing satisfaction guarantee. Premium+ buyer access packages include unlimited Custom Sourcing support: WholesaleUp's sourcing team will personally search for suppliers that match the requirements the User submits via the Custom Sourcing dashboard. Where, after good-faith engagement with the Custom Sourcing process, WholesaleUp is unable to identify suppliers that materially match the User's stated sourcing requirements, the User is entitled on request to a full refund of the Premium+ access package price for the current term. To qualify, the User must (a) be on a current Premium+ access package; (b) have submitted at least one Custom Sourcing request via the dashboard during the term; (c) have engaged constructively with the WholesaleUp sourcing team's clarification questions and supplier suggestions during the term; and (d) raise the refund request via the contact form before the end of the current Premium+ access term. Requirements that fall outside WholesaleUp's stated platform scope (e.g. categories, regions, or supplier types not represented in our directory) are not within scope of the guarantee. The guarantee is limited to the price of the current Premium+ access package; it does not extend to past, expired, or future terms, and it does not apply where the User has separately upgraded with pro-rata credit during the term (in which case the original lower-tier price is refundable on the same conditions).
Information Accuracy. While every effort is made to ensure the accuracy of our website, some details on the site may change from time to time. We endeavour to rectify any errors, but we cannot be held responsible for any losses incurred as a result of reliance on inaccurate information.
Refund Requests. Refund requests may be submitted by contacting WholesaleUp customer support. All refund decisions are made at the sole discretion of WholesaleUp management. Because access packages are purchased in a B2B capacity (see clause 2.1), consumer-law cooling-off or distance-selling rights do not apply to access package purchases.
Legal Compliance. You agree to comply with all applicable local, national, and international laws, regulations, and rules that apply to your use of this Site and any transactions conducted through it. It is your responsibility to ensure that your use of our services is lawful in your jurisdiction.
Use of Content. Use of the content or materials of WholesaleUp for any purpose not expressly permitted in these Terms of Use is prohibited. Each User agrees not to copy, reproduce, download, or commercially exploit content from our Site. Systematic retrieval of data to create or compile a collection, database, or directory without our permission is prohibited.
Account Security. You are responsible for keeping your password and account confidential and must not disclose them to any third party. You are solely responsible for all activities under your password or account and agree to indemnify us against claims arising from your failure to maintain confidentiality.
Registration Discretion. At its sole discretion, WholesaleUp may refuse registration or deny issuance of an account, Username, or Password to anyone, for any reason.
Account Sharing. The User agrees not to share the account with others. We employ session monitoring and may detect when an account is accessed from multiple devices or locations simultaneously. An account may be suspended for 24 hours if sharing is detected. Repeated breaches may result in permanent suspension.
Account Suspension or Termination. WholesaleUp may suspend or terminate a registered User's account at any time by giving no less than 24-hour notice; however, notice is not required if there is a breach of the Terms of Use, information provided is found to be inaccurate or incomplete, fraudulent or illegal activity is suspected, or the account is used to harass, abuse, or threaten other users or staff.
Product Authenticity (Suppliers). Suppliers who list branded goods on WholesaleUp warrant that all such stock is genuine and not counterfeit, diverted under contractual restriction, or otherwise offered in breach of a brand owner's rights. On reasonable request by WholesaleUp or by a buyer, the supplier must be able to produce, within 72 hours, (a) a sanitized invoice from an authorized upstream source that traces the stock back to the brand (with SKU, brand name, quantities, and the chain of ownership visible; pricing and the upstream source's contact details may be redacted), or (b) a direct Letter of Authorization (LOA) issued by the brand owner permitting the supplier to sell and distribute the stock. Brand Owners authorize themselves by virtue of holding the trademark, and suppliers of unbranded or own-brand goods (including Manufacturers, Private Label / White Label sellers, and Artisan / Maker sellers) may substitute equivalent manufacturing paperwork (production invoices, component-sourcing records, or factory audit certifications) in place of a sanitized invoice or LOA. Failure or refusal to produce proof within the stated window, or the production of documentation that cannot be reconciled with the listed goods, entitles WholesaleUp to immediately delist the affected products, revoke the Verified badge, suspend the supplier account, notify the buyer of any pending enquiries, and forfeit any prorated Supplier Pro balance for the remainder of the billing period without refund. Supplier Anonymity & Contact Details. WholesaleUp operates as an anonymised directory: a supplier's identifying and contact details — company name, contact name, email address, telephone number, website, trading address, and registration or tax numbers — are held in dedicated, structured profile fields and are revealed only to buyers who have unlocked them under the applicable access tier. To keep this protection effective, suppliers must provide any company-identifying or contact information only in those dedicated fields, and must not place it in free-text or otherwise publicly visible profile content — including the company description, products-offered text, product keywords, distributed-brands list, or linked social-media handles. WholesaleUp may, automatically and without prior notice, remove, redact, or decline to publish any identifying or contact information that appears in public free-text in order to preserve supplier anonymity and the integrity of the directory; doing so does not relieve the supplier of this obligation or guarantee that every such detail will be caught. Deliberately embedding contact or identifying details in public content, or otherwise attempting to solicit or route enquiries off-platform in circumvention of the directory's access tiers, is a breach of these Terms of Use and may result in delisting of the affected content, loss of the Verified badge, or suspension or termination of the account under the Account Suspension or Termination clause above.
AI Message Translation. Messages you send to other users on WholesaleUp may be processed by Anthropic's Claude API to provide AI-powered translation when the recipient's preferred reading language differs from the source language. By using the messaging feature you acknowledge that the content of your messages (excluding your name, email, and other personal identifiers) will be transmitted to Anthropic for translation under their standard Data Processing Agreement; that both the original and translated versions will be stored on our servers for caching and display purposes; and that the recipient may toggle between the translated and original versions at will. Translation is enabled by default for all users; you can opt out of translation for messages you receive at /dashboard/account-profile → Contact Options → Communication Preferences. The opt-out applies to your inbox only — messages YOU send may still be translated for OTHER recipients who have not opted out. Translation is provided as a best-effort convenience and is not a substitute for professional human translation in regulated, contractual, or legally significant communications; if accuracy is critical, please cross-check translated content against the original (the per-message "Show original" toggle remains available at all times). Full data-flow, retention schedule, and lawful-basis analysis are documented in §1.11 of our Privacy Policy.
Retention of Messaging Correspondence After Account Closure. If you close your account, the messages you sent to other businesses on WholesaleUp are not immediately destroyed. They are moved to a restricted, admin-access-only legal-retention archive and kept for five years measured from the date each message was sent. This lets WholesaleUp prevent and investigate fraud and abuse, and lets either trading party defend or pursue a claim about an agreed transaction within the limitation period for contractual claims (Spanish Civil Code Art. 1964). The retained copy is kept under the legitimate-interests basis of GDPR Art. 6(1)(f), and Art. 17(3)(e) recognises that this retention may continue notwithstanding an erasure request to the extent the data is needed for the establishment, exercise, or defence of legal claims. The archive is segregated and is not browsable by ordinary staff. After five years, or once the relevant matter is resolved and any litigation hold is lifted, the archived messages are permanently destroyed. Eligibility. The WholesaleUp Affiliate Program is open to Users aged 18 or over who hold a WholesaleUp account in good standing. Membership is subject to acceptance of these Terms of Use and of any additional program guidelines published on the Affiliate Program page. WholesaleUp may refuse or revoke affiliate status at its sole discretion, including (without limitation) where an applicant has a history of policy violations, operates a site containing illegal or infringing content, or competes with WholesaleUp's core service.
Commission Structure. Affiliates earn a commission on qualifying paid-access purchases made by new Users whom they refer. Commission is earned on every qualifying payment a referred User makes for the lifetime of the referral — both their first paid-access purchase and each subsequent recurring-subscription renewal or repurchase — for as long as the referring affiliate's account remains active and in good standing and attribution for that User has not been reassigned to a later affiliate. Each payment is treated as a separate qualifying purchase for the purposes of the Hold Period & Clawback provisions below, so where an individual payment is later refunded, charged back, cancelled, or found to be fraudulent, only the commission attributable to that payment is reversed; no commission is earned for any period in which the referred User is not charged (for example, after they cancel or lapse). Commission rates are tiered — the applicable percentage is determined by the affiliate's current tier at the time of each qualifying payment, which is recalculated periodically based on qualifying referral volume. The current rate sheet, tier thresholds, and lifetime-commission policy are published on the Affiliate Program page and are incorporated into these Terms of Use by reference. WholesaleUp may adjust rates or tier thresholds prospectively on not less than 30 days' notice; confirmed commissions already earned are not retroactively affected by such adjustments.
Attribution & Cookie Window. Referral attribution uses a last-click model. When a prospective User clicks an affiliate link, a cookie is placed that credits any resulting purchase to the most recent affiliate referral for the duration of the cookie window. The default cookie window is 60 days; the window is extended to 90 days for affiliates who have reached the Platinum tier. If the prospective User subsequently clicks a different affiliate's link within the window, attribution is reassigned to the later click. WholesaleUp's attribution records are authoritative in the event of any dispute.
Disclosure Obligation. Affiliates must clearly and conspicuously disclose the material connection with WholesaleUp whenever they promote the service, in line with applicable advertising guidance — including (without limitation) the United States Federal Trade Commission's Endorsement Guides, the UK Competition and Markets Authority and Advertising Standards Authority guidance on social-media endorsements, and equivalent EU advertising rules. Acceptable disclosures include hashtags such as "#ad", "#affiliate", or "paid partnership" placed at the start of a post, together with plain-language statements that the affiliate receives a commission on referred purchases. Affiliates are responsible for ensuring their disclosures comply with the rules of every platform and jurisdiction in which they publish.
Prohibited Conduct. Affiliates must not: (a) refer themselves, household members, or accounts they control; (b) bid on "WholesaleUp", misspellings thereof, or any WholesaleUp trademark in paid search, or use WholesaleUp trademarks in ad copy, display URLs, or domain names; (c) operate coupon, cashback, toolbar, browser-extension, or retargeting campaigns that hijack attribution from other affiliates or from organic traffic; (d) send unsolicited email ("spam") or otherwise breach applicable anti-spam, consumer-protection, or data-protection law; (e) make false, misleading, or unsubstantiated claims about WholesaleUp or the suppliers and deals it lists; (f) place affiliate links on sites containing illegal, adult, hateful, or infringing content; or (g) otherwise act in a manner reasonably likely to damage WholesaleUp's brand, contractual relationships, or attribution integrity.
Hold Period & Clawback. Referred commissions enter a 30-day hold period from the date of the qualifying purchase to permit refund, chargeback, and fraud review. Commissions released from hold remain subject to a 60-day clawback window. WholesaleUp may reverse any commission if the underlying purchase is refunded, charged back, cancelled, or identified as fraudulent, or if the referring affiliate is found to be in breach of this section. Clawbacks are netted against future payouts; where the affiliate has no future payout sufficient to cover the clawback, WholesaleUp may invoice the affiliate for the shortfall.
Payout. Accrued commissions released from hold are paid on a monthly cycle, provided the affiliate's confirmed balance is at least USD 100 (or local-currency equivalent) on the payout cut-off date. Balances below the minimum roll forward to the next cycle. Payouts are issued via the payment methods offered by WholesaleUp from time to time; affiliates are responsible for providing accurate payout details and for any taxes, duties, or fees payable on commissions earned. WholesaleUp may suspend payout pending verification of identity, tax status, or compliance with this section.
Termination & Survival. Either party may terminate participation in the Affiliate Program at any time, with or without cause, by written notice (including by email or via the affiliate dashboard). Upon termination, the affiliate must immediately cease using WholesaleUp trademarks and remove all affiliate links from their properties. Commissions attributable to qualifying referrals that occurred prior to termination remain payable subject to the hold and clawback provisions of clause 4.6, unless termination is for breach of this section — in which case WholesaleUp may forfeit any unpaid balance. Clauses 4.5 (Prohibited Conduct), 4.6 (Hold Period & Clawback), and this clause 4.8 survive termination.
Governing Law. Affiliate Program participation is governed by the same laws and jurisdiction as the rest of these Terms of Use (see clause 1.4).
This Site may contain links to external websites operated by third parties. These links are provided for your convenience only. We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites.
The inclusion of any link does not imply endorsement, sponsorship, or recommendation by WholesaleUp. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party websites.
This Site and its content are provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
WholesaleUp does not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant that the results obtained from the use of the Site will be accurate or reliable.
Any material downloaded or otherwise obtained through the use of the Site is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
You agree to indemnify, defend, and hold harmless WholesaleUp, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable legal fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations.
WholesaleUp reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with WholesaleUp in asserting any available defenses.
In no event shall WholesaleUp, its officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any errors, mistakes, or inaccuracies of content, personal injury or property damage, unauthorized access to or use of our servers and/or any personal information stored therein.
WholesaleUp shall not be liable for any bugs, viruses, trojan horses, or the like which may be transmitted to or through our Site by any third party.
WholesaleUp shall not be liable for any interruption or cessation of transmission to or from the Site.
In no event shall WholesaleUp be liable for any failure to comply with these Terms of Use to the extent that such failure arises from factors outside our reasonable control.
To the maximum extent permitted by law, WholesaleUp's total liability for any claim arising out of this agreement shall not exceed the amount of fees paid by the User in the 12 months preceding the claim. WholesaleUp shall not be liable for any loss of profit, business, or indirect, special, incidental, or consequential damages.
Acceptance of these Terms includes acceptance of our Privacy Policy, which governs how we protect and use your information. You can review our Privacy Policy at any time by visiting the Privacy page on our website.
We comply fully with the EU General Data Protection Regulation (GDPR), the Spanish Organic Law on Data Protection (LOPDGDD), the Spanish Information Society Services Act (LSSI-CE), and — for UK Users — the UK GDPR and the Privacy and Electronic Communications Regulations (PECR). Users must adhere strictly to applicable data protection laws when handling any personal data accessed via our Site. We process personal data as described in our Privacy Policy. Users have rights to access, correct, and request deletion of their data.
WholesaleUp reserves the right to require Users to provide proof of identity and business registration documents. Accounts may be suspended or terminated if users fail to provide required information upon request, or if fraudulent or illegal activity is suspected.
In the event of any dispute arising under these Terms, the parties shall first attempt to resolve the dispute amicably by contacting WholesaleUp customer support. If the dispute cannot be resolved informally within 30 days, either party may commence proceedings in the courts of Santa Cruz de Tenerife, Spain, which shall have exclusive jurisdiction, without prejudice to any mandatory consumer-protection jurisdiction that may apply to Users in the EU or UK.

You may not extract or re-utilise the whole or any substantial part (evaluated qualitatively or quantitatively) of the contents of this database, nor carry out repeated or systematic extraction or re-utilisation of insubstantial parts, without our prior written permission. This includes, without limitation, scraping, crawling, harvesting, indexing for resale, or any other automated or manual collection of supplier, buyer, deal, or listing data, whether or not undertaken for commercial purposes.
